General terms

These Terms of Service explain the relationship between you and Solemora when you access coaching, mentoring and related services. By using our site or engaging our services you agree to these terms. They establish expectations about conduct, payments, intellectual property and the scope of services provided by Solemora. If you do not agree, please do not access our services.

Eligibility

Services are available to individuals and organisations that can lawfully enter into contracts under Singapore law. By engaging our services you confirm that you meet eligibility requirements and will provide accurate information during registration or bookings.

You must be at least 18 years old to use Solemora services. If you are booking on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

You agree to use Solemora services only for lawful purposes and in a manner consistent with these terms and applicable laws. Prohibited uses include unlawful activities, harassment, defamation and any action that harms other users or our operations.

While Solemora operates from Singapore and designs services for clients here, some services may be available remotely. Access from other jurisdictions is subject to local laws; where local restrictions apply, those users must comply with their domestic regulations.

Accounts and access

To access certain features or service bookings you may need to create an account. Keep your account details accurate and up to date. You are responsible for all activity under your account.

Provide truthful and current information when registering. Misleading or false details may result in limitations on access or termination of services.

Protect your account credentials. Notify us immediately if you suspect unauthorized access. We will take reasonable measures to secure account information but cannot accept liability for compromised credentials due to user negligence.

Accounts are personal and may not be transferred, sold or assigned without prior written consent from Solemora.

If you believe your account has been compromised, contact us immediately via the website contact form. Prompt notice helps us take protective steps to limit unauthorized activity.

We may suspend or restrict access to accounts that breach these terms, pose security risks, or where required by law. We will inform you of the reason where practicable.

Services provided

Solemora delivers executive leadership coaching, one-to-one mentoring, group workshops and tailored advisory services designed to support professional development, decision-making and organisational performance. Services are delivered by experienced coaches and mentors and are structured around client objectives agreed in writing at engagement outset.

We may modify, add or discontinue services or features from time to time. We will communicate material changes to existing clients and update information on hdmora.club.

Service availability depends on coach schedules, venue capacity, and demand. Bookings are subject to confirmation. We will reasonably accommodate rescheduling requests but availability cannot be assured.

User conduct rules

When using Solemora services or communicating with our team you agree to follow these conduct rules:

  • Engage respectfully with coaches, mentors, staff and other participants; harassment or abusive language is not tolerated.
  • Provide accurate information and cooperate in scheduling, preparation and follow-up activities.
  • Do not share access credentials or attempt to access restricted areas of our systems.
  • Respect confidentiality obligations and do not disclose sensitive information about other participants or Solemora materials.
  • Refrain from recording sessions without explicit consent from Solemora and any other participants involved.
  • Use materials provided by Solemora for personal or organisational development only and do not redistribute without permission.
  • Comply with applicable laws and professional standards when applying coaching or mentoring guidance.

User content

You may submit materials, questions or other content while using our services. By submitting user content you confirm you have rights to do so and that it does not infringe on third-party rights.

You retain ownership of original content you submit. Solemora does not claim ownership of your original materials except where rights are expressly licensed to Solemora in writing.

By providing content you grant Solemora a non-exclusive license to use, reproduce and adapt the content for the purposes of delivering services, improving programs, and internal reporting.

You are responsible for the accuracy and lawfulness of user content. Do not submit defamatory, obscene, or unlawful materials. Solemora may remove content that violates these terms.

Solemora may remove or restrict access to user content that breaches these terms or applicable law. We will notify you where practicable and provide reasons for removal.

Intellectual property

All intellectual property rights in Solemora materials, brand assets and proprietary content remain owned by Solemora or its licensors. Use of our IP is limited to the rights expressly granted in writing.

  • Do not copy, reproduce or distribute Solemora materials without explicit written permission.
  • Do not remove or alter any copyright, activity or other proprietary notices on materials provided by Solemora.
  • Do not reverse engineer, decompile or attempt to extract underlying code or design from Solemora digital products or resources.

Paid services and fees

Certain Solemora services require payment of fees. Fees, packages and scheduling are confirmed in written proposals, invoices or booking confirmations. All fees are in Singapore dollars unless stated otherwise.

Pricing for coaching, mentoring, workshops and advisory engagements is provided in the proposal or booking confirmation. Prices reflect the scope, duration and resources allocated to the engagement.

Payments are due as specified in invoices or booking terms. Acceptable payment methods are listed on hdmora.club and may include bank transfer and credit card. Late payments may result in suspension of services until cleared.

Where subscription services are offered, recurring billing will continue until cancelled in accordance with the subscription terms. Clients will be notified of renewal and any material changes prior to renewal where practicable.

Refunds are considered on a case-by-case basis. For prepaid sessions or packages, refunds or partial credits may be provided for unused services within specified timeframes and subject to reasonable administrative deductions.

Cancellation and rescheduling policies are set out in booking confirmations. We ask clients to provide timely notice for cancellations to allow reallocation of coaching time. Fees may apply for late cancellations or no-shows.

Clients are responsible for any applicable taxes, levies or duties associated with payments for services. Where Solemora is required to collect taxes, they will be itemised on invoices.

Solemora may adjust pricing from time to time. Existing confirmed bookings will be honoured at the agreed price unless otherwise notified and agreed in writing.

Non-payment may result in suspension or termination of services, and unpaid amounts may be referred to collection. Clients remain responsible for any collection costs reasonably incurred.

Disclaimer

Coaching and mentoring offered by Solemora are developmental services intended to support professional growth and decision-making. They are not substitutes for legal, medical, business or other professional advice. Clients should seek independent expert advice where appropriate.

Limitation of liability

To the extent permitted by law, Solemora's liability arising from or related to these terms or the services provided is limited to direct losses and capped at amounts paid for the relevant service in the preceding six months. We are not liable for indirect, consequential or punitive losses.

Third-party services and links

Solemora may integrate or recommend third-party tools, platforms or resources. We do not control third-party services and are not responsible for their practices, availability or content. Use of third-party services is at your own risk.

Termination

Either party may terminate a service agreement as set out in the engagement terms. Solemora may also terminate services for breach of these terms, non-payment, or conduct that interferes with delivery.

On termination, outstanding fees and charges remain payable. Access to materials and services may be revoked and client data handled in accordance with our privacy policy and applicable law.

Privacy

Solemora processes personal data in accordance with the privacy policy available at hdmora.club/privacy. By using our services you consent to the collection and use of your data as described in that policy.

Communications

Solemora will communicate service-related information through email, phone and messages made available on hdmora.club. Clients should ensure contact details are current. Electronic communications may be retained for administrative purposes.

Changes to terms

We may update these Terms of Service. Significant changes affecting existing clients will be communicated in advance where reasonable. Continued use of services after changes indicates acceptance of updated terms.

Governing law

These terms are governed by the laws of Singapore. Parties submit to the non-exclusive jurisdiction of the courts of Singapore in respect of any dispute arising out of or in connection with these terms.

Disputes

If a dispute arises, parties should first seek to resolve it through good faith discussions. If unresolved, disputes will be dealt with under the governing law provisions and may be brought before the courts of Singapore or alternative dispute resolution mechanisms as agreed.
